2 外国為替証拠金取引約款 Forex Margin Trading Agreement 外国為替証拠金取引約款 ( 以下 本約款 といいます ) は お客様が東岳証券株式会社 ( TOGAKU Securities CO.,LTD 以下 弊社 といいます ) との間で行う外国為替証拠金取引に関する権利義務を明確にするために定めたものです These terms for Forex Margin trading (hereinafter referred to as these Terms ) are formulated for the purpose of specifying the rights and obligations of TOGAKU Securities CO., LTD. (hereinafter referred to as the Company ) and its Client with regard to the Forex Margin trading between them. お客様は本約款 外国為替証拠金電子取引システム利用約款 外国為替証拠金取引口座約款 外国為替証拠金取引説明書 マネーロンダリング規制覚書及び外国為替証拠金取引ガイドブック等を受領し 十分に理解した上 それに基づいて弊社から外国為替証拠金取引の仕組み リスクおよび金融商品取引法 金融商品販売等に関する法律第 3 条に規定する重要事項について説明を受けて内容を十分理解し お客様の判断と責任において外国為替証拠金取引を行います The Client shall, after receiving and fully understanding these Terms, terms for the use of the electronic trading system of the Forex Margin, terms for the trading accounts of the Forex Margin, the Forex Margin Trading Manual, the Memorandum for Anti-money Laundering Provisions and the Forex Margin Trading Guide as well as other documents, receive and fully understand the Company s explanation with regard to the composition of the Forex Margin and risks therein, other important matters prescribed in the Financial Instruments and Exchange Law and Article 3 of the Law on Sales of Financial Products as well as other relevant laws and regulations based upon the aforementioned documents. The Client shall enter into the Forex Margin trading after its determines that it has clearly understood its responsibilities. 第 1 条 : 定義 Article 1: Definitions 本約款において 別段の定義規定がある場合および文脈上別異に解すべき場合を除き 次の各号記載の用語はそれぞれ次の意味で使用します なお 弊社が別途規定する個別約款その他弊社の定める一切の規定 ( 外国為替証拠金取引ガイドブックの記載を含むが これに限らない ) において次の各号記載の用語が用いられる場合も同様とします For purpose of these Terms, unless otherwise stated herein or the context otherwise requires, the following terms and expressions shall have the following meanings. In addition, if any of the following terms and expressions is used in specific terms and conditions prescribed by the Company otherwise and all other provisions formulated by the Company (including but not limited to, the provisions included in the Forex Margin Trading Guidebook), it shall have the same meaning as prescribed herein. 1 現物為替取引所定の期日に売買対象通貨を互いに授受する ( 現物の受渡しをする ) ことにより決済を行う取引 1 Spot Foreign Exchange Transaction refers to the foreign exchange transaction that makes settlement by purchase of one currency against the sale of another (spot delivery) on an agreed date. 2 店頭金融先物取引金融商品取引法第 2 条第 22 項に規定する店頭デリバティブ取引のうち同項第 1 号に規定する取引

3 2 OTC Financial Futures transaction refers to the transaction specified in the 1 st paragraph of the definition of OTC Financial Futures transaction set forth in Article 2.22 of the Financial Instruments and Exchange Law. 3 外国為替証拠金取引事前に取引金額の一部を証拠金として預け入れた後に行う現物為替取引で 常に取引日後の第 2 通貨営業日 ( スポット応答日 ) を決済日とし かつ 決済日に反対売買を行わない場合には自動的に当該決済日が翌通貨営業日に繰り延べられる特約 ( 但し第 12 条 第 14 条 第 24 条その他弊社がお客様の同意なく反対売買による決済を行い得る旨規定した条項が適用される場合はこの限りではない ) が付いているもの 3 Forex Margin trading refers to the spot exchange transaction made after depositing a certain amount of transaction as margin in advance. Generally, the second currency working day after the date of transaction (spot delivery day) shall be the date of settlement. It is specifically agreed that, in the case that there is no reverse purchase and sale in the date of settlement specified above, it shall be automatically postponed to the following currency working day. (Nevertheless, this provision shall not apply in the circumstances that the Company has the right to make settlement by conducting reverse purchase and sale without the consent of the Client as prescribed in Article 12, 14 and 24 hereof or otherwise). 4 個別外国為替証拠金取引本約款 外国為替証拠金電子取引システム利用約款 外国為替証拠金取引口座約款 外国為替証拠金取引説明書その他弊社が定める一切の規定 ( 外国為替証拠金取引ガイドブックの記載を含むが これに限らない ) に基づく個別の外国為替証拠金取引 なお 個別外国為替証拠金取引においては 取引銘柄を構成する通貨について現実の受け渡しは行わず 全て反対売買による差金決済によって取引を終了させるものとします 4 Specific Forex Margin trading refers to specific Forex Margin tradings conducted in accordance with these Terms, terms for the utilization of the electronic trading system of Forex Margin, terms for the Forex Margin trading accounts, the Forex Margin Trading Manual as well as all other provisions formulated by the Company (including but not limited to, terms included in the Forex Margin Trading Guide). In addition, in any specific Forex Margin trading, spot delivery will not be conducted for the currencies used for the purchase and sale of the products under transaction, and the transaction will be concluded by balance settlement in reverse purchase and sale. 5 通貨営業日 1 取引銘柄の両方の通貨に係る金融センター ( 当該通貨を取引する主要な市場が存在する都市として各通貨について決定されます ) において 銀行が営業を行い かつ 外国為替市場が開かれている日 または2 取引銘柄の一方の通貨が米ドル通貨の場合に 他方の通貨に係る金融センターにおいて 銀行が営業を行い かつ 外国為替市場が開かれている日 5 Currency Working Day refers to: 1 the date the banks and foreign exchange markets in financial centers ( whether the financial center of any currency will be the major market of that currency is depend on the city in which the said currency is circulated) of both parties are open; or 2 in the case that USD is used by either party, the date the banks and foreign exchange markets in the financial center of the other city is open. 6 金利相当金額未決済ポジション一取引単位当たりについて 当該未決済ポジションに係る取引銘柄を構成する各通貨間の金利差に基づき発生する損益として ニューヨーク市場の毎営業日の終

4 了時刻 ( ニューヨーク市場が通貨営業日でない場合には ニューヨーク市場の営業終了時刻に相当する時刻 ) を基準として弊社のカバー取引先が金融市場実勢に基づき円貨または他の通貨にて算出し 提示する金額 6 Interest Equivalent Amount refers to the profit and loss arising from the differences between the interests accrued on the currencies used by the parties for the Commodities under the outstanding position (transaction unit) of the transaction between them at the time the business day of the New York market ends (in the case that it is not a currency day of New York market is, the time the business of New York market ends), the amount of which is calculated by the counterparty of the Company in Yen or any other currency based on the market price of the financial market. 7 金利相当金額累積額単一の注文に従って成立した個別外国為替証拠金取引に係る未決済ポジションについて 所定の計算式に従って日々算定される金利相当金額の累積金額 7 Accumulation Interest Equivalent Amount refers to the daily accumulation of amount equivalent to interest calculated with specified formula for outstanding position of any specific Forex Margin trading. 8 証拠金個別外国為替証拠金取引に関して発生する可能性のあるお客様の弊社に対する債務の履行を確保するためにお客様が弊社に対して預託する金銭 8 Margin refers to the amount deposited by the Client in the Company for ensuring that the Client will fulfill its obligations of repaying debts owed to the Company with regard to potential debt activities in any specific Forex Margin trading. 9 証拠金残高お客様が弊社に差し入れている証拠金の合計金額 9 Balance of Margin refers to the total amount of margin deposited by the Client in the Company. 10 必要証拠金別途定める規定に従い 個別外国為替証拠金取引の成立に必要とされる証拠金の額 10 Necessary Margin refers to the amount of required margin when any Specific Forex Margin trading is completed as otherwise prescribed. 11 有効証拠金前日の証拠金残高から当日の損益 評価損益及び諸手数料を加減した金額をいい 外国為替証拠金取引口座の純資産額に相当する金額計算式有効証拠金 = 前日の証拠金残高 ± 当日の損益 ± 当日の評価損益 - 諸手数料 11 Effective Margin refers to the amount acquired by adding into or deducting the current day s profit and loss, floating profit and loss and various commissions from the previous balance of margin, which is equivalent to the amount of net assets of the Forex Margin Trading Account; Formula: Effective margin=previous Balance ± Profit/Loss of the current day ± Floating Profit/Loss of the current day -various commissions 12 証拠金維持率有効証拠金の額を必要証拠金の額で除して得られる数値 12 Margin Maintenance Rate refers to the value acquired by dividing the amount of effective margin by that of required margin. 13 ポジション外国為替証拠金取引を行った場合の 持ち高のこと 13 Position refers to the unit amount held by either party in conducting any Forex Margin trading.

5 14 未決済ポジションある時点で 反対売買が行われていないポジション 14 Outstanding position refers to any position for which reverse purchase and sale has not been conducted; 15 値洗い未決済ポジションについての評価損益を 弊社が定める時刻にまたは頻度で 弊社のカバー取引先が金融市場実勢に基づき円貨または他の通貨にて提示する為替レートを基準として算出すること 15 Calculation of Floating Profit and Loss refers to the calculation of the floating profit and loss of the outstanding position at the time and frequency prescribed by the Company by the counterparty of the Company based on the market price of the financial market at the exchange rate of Yen or any other currency; 16 ロールオーバーバリューデートを自動的に繰延すること 16 Rollover refers to the automatic extension of the date of delivery; 17 取引銘柄個別外国為替保証金取引の対象として弊社が定めた一対 ( ペア ) の通貨をいい 左右に並べて表記され 左側の通貨の一取引単位を右側の通貨で売買するのに必要な金額が表示されるもの 17 Trading product refers to, when a pair of currencies determined by the Company as the subject of any specific Forex Margin are placed on two sides of the trading product respectively, the amount of a transaction unit on the left side is displayed by the amount of a transaction unit on the right side for purchase and sale. 18 取引単位個別外国為替証拠金取引を行う場合の取引金額の最低単位として弊社が定める金額で取引銘柄の左側の通貨で表示されるもの 18 Transaction Unit refers to the minimum unit of the transaction amount in any specific Forex Margin, which is displayed by the currency on the left side of the product under transaction. 19 マーケットレート個別外国為替証拠金取引の成立の基準となる価格として弊社のカバー取引先が実勢為替レートに基づいて提示する価格 19 Market Price refers to the basic price for any specific Forex Margin trading to be excuted offered by the counterparty of the Company at the market exchange rate; 20 建玉値マーケットレートに基づいて取引が成立した場合に手数料相当額 ( 弊社が別途定めるところによります ) を当該マーケットレートに反映させた価格 カバー取引先の価格提示サーバーに到達するのは時間がかかるため 約定レートは到達時点のサーバー提示価格になりお客様が注文時のレートと同一にならない場合がある 20 Execute Price refers to the price reflecting the equivalent amount of the commissions (as prescribed by the Company) on the market price when the transaction is executed; Quote price to reach the server cover is a time consuming the counterparty, contract rate may not be the same as your rate at the time of the order will reach the server at the time the asking price. 21 取引日弊社の外国為替証拠金電子取引システムが利用可能な時間 ( 弊社が別途定めるところによります ) 21 Date of Transaction refers to the date on which the Company may use the electronic trading system (as otherwise prescribed by the Company).

6 22 取引額通貨レートにその取引の数量または件数を乗じて得た額 22 Transaction Amount refers to currency price of the product currency unit transaction lots. 23 証拠金規制率金商業等府令の改正により 取引額の 4% 以上 ( 施行平成 23 年 8 月 1 日 ) の証拠金の預託を受けずに業者等が顧客に FX 取引を行わせることが禁止されることとなりました 4% は証拠金規制率になる 23 Margin Limit Rate refers to, in accordance with the revised laws of Japan s cabinet, from Aug 1 st, 2011, if the amount of margin under the custody of any financial operator as entrusted by its Client fails to reach 4% of the transaction amount, such financial operator shall have no qualification to provide its Client with Forex Margin trading services, and4% is the margin limit rate. 24 新規必要証拠金新規ポジションを建てる際 取引額 ( 建玉値 取引単位 ) に証拠金規制率 4% を乗じた額 24 Necessary margin for opening Transaction refers to the transaction amount in opening a new transaction (open price currency unit ) 4%(margin limit rate). 25 維持必要証拠金リアルタイムレートで未決済ポジションを有効にしておくために必要となる証拠金 25 Necessary margin for maintenance refers to Margin needed to keep the outstanding position in the real-time rate 26 ロールオーバー以外維持必要証拠金リアルタイムレートでポジションを維持するため 取引額 ( リアルタイムレート 取引単位 ) に証拠金規制率 4% を乗じた額 26 Necessary margin for maintenance beyond rollover refers to In order to maintain the position in real time rate, Turnover (Market price x currency unit ) x4%. 27 ロールオーバー時維持必要証拠金ロールオーバー時のポジションを維持するため 取引額 ( 終値 取引単位 ) に証拠金規制率 4% を乗じた額 27 Necessary margin for Maintenance refers to At the time of rollover on each trading day the transaction amount for maintaining the transaction in case of extension of date of transaction (close price currency unit) 4% (margin limit rate). 28 維持必要証拠金維持率有効証拠金の額を維持必要証拠金の額で除して得られる数値 すべての未決済ポジションを現在価値に照らし合わせて再評価すること 28 Maintenance Rate of necessary margin refers to the value acquired by dividing the amount of effective margin by the necessary margin for maintaining the transaction, which will be re-evaluated at the current price for outstanding position. 29 証拠金規制除外法人口座弊社が別途定めるところによります 29 Margin Restriction exempted for corporate account bull refers to as otherwise prescribed by the Company 第 2 条 : 適用関係 Article 2 Priority in Application 本約款の内容が弊社の別途定める個別約款その他の規定の内容と相反する場合には その相反する限度においてのみ個別約款の内容が本約款に優先するものとします

7 In the case that any of these Terms is contrary to any of the specific terms or other provisions formulated by the Company, such specific term shall prior to the extent of contrary. 第 3 条 : 外国為替証拠金取引におけるリスクと自己責任の確認 Article 3 Acknowledgement of Risks and Responsibilities in Forex Margin tradings お客様は 本約款に対する外国為替証拠金取引説明書の日付現在および各個別外国為替証拠金取引の日付現在で 弊社に対して以下のとおり表明および保証し また弊社のため 以下につき同意するものとします The Client hereby represents and warrants to the Company with regard to the date of the Forex Margin trading Manual and the dates of specific Forex Margin tradings specified in these Terms as follows, and at the same time, agrees the following for the Company: 1 お客様は 外国為替証拠金取引は 投機的であり 高度なリスクを伴い その差し入れた証拠金を超える損失のリスクを負担することができる者のみに適することを確認します 1 The Client acknowledges that the Forex Margin trading is speculative and accompanied by high risks and is only suitable for those who are willing to bear risks of losses that may exceed the margin deposited to the Company. 2 お客様は 取引の金銭的その他のリスクを負担する意思および能力を有し 弊社がお客様の外国為替証拠金取引口座を維持することと引換えに 弊社またはその従業員 外務員 代理人もしくは代表者の取引に関する推奨または示唆に従ったことにより生じた損失について 弊社の責を問わないことに同意します お客様は 外国為替取引に関して利益の保証または損失補てんはなされないことを認識しており 自らが弊社またはその代表者のいずれからもかかる保証を受けていないことを確認し またかかる保証または同様の表明と引換えに またはそれに依拠して 本件契約を締結したのではないことを確認します 2 The Company agrees that it has the intention and capacity to bear risks in the transaction in capital and other aspects, and that the Company shall not be liable for the losses suffered by the Client in the Forex Margin trading due to followings: the recommendation or implication given by the Company or any of its employees, clerks, agents and representatives with regard to the transaction. The Client understands that:(i)no profit guarantee or loss filling can be made with regard to foreign exchange transactions; and the Client acknowledges that:(ii)it has not accepted any warranty made by the Company or any of its representatives; and further acknowledges that: (iii)it entered into these Terms not for having acquired warranty or equivalent representation from the Company and not based on such warranty or representation. 3 お客様は 外国為替証拠金取引説明書記載のリスクおよび他の事項並びに本約款 外国為替証拠金電子取引システム利用約款 外国為替証拠金取引口座約款 マネーロンダリング規制覚書及び外国為替証拠金取引ガイドブック等の内容を十分理解し また承認した上でお客様の判断と責任において外国為替証拠金取引を行うことを確認します 3 The Client acknowledges that it enters into the Forex Margin trading at its own discretion upon full understanding and acknowledgement of its responsibilities as well as the risks and other matters specified in the Forex Margin

8 trading Manual as well as these Terms, the terms for the use of the Forex Margin trading system, the terms for the Forex Margin account, the Memorandum for Anti-money Laundering Provisions and the Forex Margin trading Manual. 4 お客様は 自らの知識 経験及び財産の状況について不正確な申告を行わないことを保証し 不正確な申告が原因でこれらの状況に照らして不適当な取引を行ったことにより生じた損失について 弊社の責を問わないことに同意します 4 The Client shall warrant that it has declared its knowledge, experience and financial status in an accurate manner, and the Client agrees that the Company shall not be liable for the losses suffered by the Client in the transaction due to any inaccurate information declared by the Client. 5 お客様が お客様の外国為替証拠金取引口座に関する取引権限または支配権をお客様以外の第三者 ( 取引代理人 ) に付与する場合 権限の一任であるか否かを問わず 弊社は いかなる場合でも お客様が選択された当該取引代理人について検討し それに関する助言を行う責任を負わないものとします 弊社は 取引代理人に関する一切の表明または保証を行いません 弊社は 取引代理人の行為によってお客様が被る損失について責任を負わず いかなる取引代理人の取引方法についても黙示的に同意または承認することはありません お客様が取引代理人に対してお客様の外国為替証拠金取引口座に関する権利を行使する権限を付与される場合は お客様の自己責任において行うものとします 5 In the case that the Client transfers its right to trade or dispose in the Forex Margin account to any third party (agent), whether fully entrusted, the Company will neither mention nor guide such an agent assigned by the Client in any occasion. In addition, the Company represents and warrants to such an agent and will not be liable for losses suffered by the Client for any act taken by its agent. Nor does the Company give any implied consent or acknowledgement to any trading approach adopted by the agent. Where the Client transfers to its agent the rights to the Forex Margin trading account, it shall bear all liabilities arising therefrom. 第 4 条 : 法令等の遵守 Article 4 Compliance with Laws and Regulations 1 お客様は その時々において適用される日本国および外国の関連諸法令並びに慣行等を遵守して個別外国為替証拠金取引を行なうものとします 1 The Client shall comply with relevant laws and regulations as well as practices of Japan and other countries in conducting specific Forex Margin tradings. 2 お客様は 外国為替証拠金取引を行うにあたり 自らが権利能力および行為能力を適法に有していること ( お客様が法人の場合 法令その他の規則または定款 寄付行為その他一切の内規等に違反せず お客様が外国為替証拠金取引を行うために必要な法令上または内部の手続を履践していること ) を表明し保証するものとします 2 The Client shall represents and warrants that it has lawful right and capacity to conduct Forex Margin tradings (in the case that the Client is a judicial person, its conducting of Forex Margin tradings shall not be in violation of

9 laws and regulations as well as other rules and statutes, donation activities and all of its interior rules, and that the Client has handled all legally required or interior procedures for conducting Forex Margin tradings). 第 5 条 : 外国為替証拠金取引口座の開設 Article 5 Opening of Forex Margin trading Account 1 お客様は 弊社所定の方法により 弊社に外国為替証拠金取引口座の開設を申込み 弊社が審査 承諾した場合に限り 外国為替証拠金取引口座が開設されます 1 The client shall apply for the opening of an Forex Margin trading account as provided by the Company, and the Forex Margin trading account may only be opened upon the examination and approval of the Company. 2 お客様が弊社と行う外国為替証拠金取引に関しては 証拠金 反対取引による差金決済を行った場合の差損益金の受渡し 取引の執行など取引に関するすべての金銭の授受を 外国為替証拠金取引口座約款に従って 外国為替証拠金取引口座において処理するものとします 2 The Forex Margin trading between the Client and the Company, the payment and receival of difference between the profit and loss generated by settlement of the difference between the margin and reverse purchase and sale, as well as the implementation of transaction and the receival of all currencies in connection with the transaction, shall be completed within the Account. 3 お客様は 外国為替証拠金取引口座が有効に開設され かつこれが有効に維持されていなければ 個別外国為替証拠金取引を行うことができないことに同意するものとします 3 The Client agrees that no specific Forex Margin trading may be made if the Forex Margin trading account has not been opened and maintained efficiently. 第 6 条 : 電子取引システムを介した取引であることの確認 Article 6 Confirmation of Transaction by using the Electronic Trading System as an agency 1 お客様は 外国為替証拠金取引が外国為替証拠金電子取引システム利用約款に基づきインターネットを経由して弊社の電子取引システムを利用して行われるものであることに同意するものとします 1 The Client agrees that the Forex Margin trading is a kind of transaction conducted via internet by using the electronic trading system of the Company in accordance with the Terms for Use of the Electronic Trading System for Forex Margin tradings. 2 弊社は お客様の用意された必要設備等に弊社の電子取引システムにアクセスできなくなるような支障が生じた場合に限り 弊社の定める規定に基づき 電話による取引を認める場合があること かかる電話による取引の場合には別途 弊社の定める追加手数料が発生すること お客様が電話回線の混雑などによって満足のいく時期において注文等を行えなかった場合でも弊社は何ら責任を負うものではないことに同意するものとします 2 Telephone may only be used as provided by the Company when any equipment required for the transaction prepared by the Client is in fault and can not be connected with the electronic trading system of the Company, and

10 in such cases, additional commissions will be collected. In addition, the Company assumes no liability in the case that the Client can not enter into any transaction at a satisfactory time due to the disorder of telephone line. 3 弊社の電子取引システムに障害が生じた場合は 復旧するまで可能な限り電話でお客様のご要望に応えるものとします ( 別途料金がかかります ) 3 In the case that the electronic trading system of the Company is in fault, the Company shall meet the Client's requirements to the maximum extent before the electronic trading system of the Company is repaired (with additional charge). 第 7 条 : 取引方法及び手数料 Article 7 Transaction Method and Commision 1 お客様は 弊社に対して 取引銘柄 取引数量 売買区別 注文種類 注文有効期限など 弊社が別途定める事項を明らかにして取引を行うこととします 1 For products under transaction, trading volume, difference between purchase and sale, transaction type and the valid term of transaction, provisions formulated by the Company otherwise shall be complied by the Client. 2 お客様が弊社に発注することのできる注文等の数量は 弊社がお客様より預託を受けている証拠金が必要証拠金を上回る範囲内に限られるものとします 2 The trading volume of the Client shall be limited to the scope that the amount of margin deposited by the Client to the Company is not lower than that of the necessary margin. 3 お客様は 弊社との間の外国為替証拠金取引に関して 弊社が別途定める取引手数料 送金手数料などの諸経費を支払うものとします 3 For conducting Forex Margin tradings, the Client shall pay commision for transaction and remittance as well as other costs as otherwise prescribed by the Company. 第 8 条 : 為替直物レート Article 8 Spot Exchange Rate 1 お客様は 弊社と行う外国為替証拠金取引に係る為替直物のレート及び金利相当金額に関し 弊社のカバー取引先が市場実勢に基づいて弊社のカバー取引先の判断で提示する実勢為替レート及び金利相当金額が適用されることに同意するものとします 1 The Client agrees that the actual market price and relevant interest equivalent amount applicable to the spot exchange rate and relevant interest equivalent amount concerning the Forex Margin trading shall be determined by the Company s counterparty based on actual market price. 2 お客様は前項のレートがその時の相場状況 為替相場の変動により 当初お客様が期待した値段と同一にならない場合があることに同意するものとします 2 The Client agrees that the exchange rate mentioned in the preceding sub-article may be different from that expected by the Client based on current market situation and market fluctuation. 3 非成行注文は 為替レートが指定の値段になった時点 ( 数理的な観点からして為替レートが指定の値段になったと認められる場合を含む ) で 成行注文として執行されるため 実際の出来値が必ずしもお客様の指定した値段と同一にならない場合があることに同意するものとします

11 3 The Client agrees that in case of non-market-price trading, when the exchange rate reached the designated price ( including the case that the exchange rate is deemed reached the designated price from a rational point of view ), it shall be executed at a market price. Therefore, the actual executed price may be different from the price designated by the Client. 4 市場が休場日にかかる時 未成約の非成行注文は 自動的にキャンセルされます お客様がキャンセルされた未成約注文を続けたい場合は 市場が開始してから新たに設定をしなければならないことに同意するものとします 4 The Client agrees that unexecuted non-market-price trading may be automatically cancelled on the dates the market is closed, and the Client shall re-set the unexecuted transactions if it has the intention to resume the canceled transaction. 5 お客様が電子取引システム上で非成行注文等を入力し 当該注文内容を弊社が受信 受付された場合でも 有効証拠金が不足している時には 実際に執行されない可能性があることに同意するものとします 5 The Client agrees that even if the non-market-price trading imputed by the Client into the electronic trading system is accepted and treated by the Company, it may not be executed in the case that there is no sufficient amount of margin. 第 9 条 : 取引日値洗い Article 9 Calculation of Floating Loss and Profit on the Date of Transaction お客様の保有する未決済ポジションに対して毎日行われるロールオーバー値洗いの計算は ニューヨーク外国為替市場の終値を基準にして 弊社のカバー取引先が定める為替レートを用いて行います The rollover floating loss and profit for outstanding position held by the Client each day shall be calculated, by using the close price of New York market as a reference, at the exchange rate determined by the Company s counterparty. 第 10 条 : 初回最低証拠金の預託 Article 10 Deposit of Initial Margin お客様は弊社と外国為替証拠金取引を行うことにより生じる弊社に対する全ての債務を担保するため 弊社が規定する額の初回最低証拠金をあらかじめ預託するものとします To ensure that the debts owed by the Client to the Company in conducting the Forex Margin trading will be fully discharged, the Client shall deposit in the Company the initial minimum margin with an amount specified by the Company. 第 11 条 : 証拠金の取扱い Article 11 Operation of Margin お客様が弊社と行う外国為替証拠金取引に係る証拠金の取扱いについては 次の各号に定めるところによるものとします

12 The operation of margin concerning the Forex Margin trading between the Client and the Company shall be handled as follows: 1 お客様は 弊社と新規の外国為替証拠金取引を開始するにあたり あらかじめ取引開始時預入金額以上の証拠金を 弊社の定める方法により 弊社の定める日時までに弊社へ預託するものとします 1 Before commencing a new Forex Margin trading with the Company, the Client shall deposit in the Company an amount higher than the initial margin as prescribed by the Company within the time limit specified by the Company. 2 お客様が外国為替証拠金取引に関連して弊社に差し入れた証拠金 外国為替証拠金取引に基づく実現損益またはその他外国為替証拠金取引に関連する金銭に対しては 金利相当金額以外の利息その他の対価が発生しないものとします 2 Except for the equivalent amount of interest, no other interest or equivalent compensation may be incurred with respect to the margin concerning the Forex Margin trading deposited by the Client in the Company, the actual loss and profit in the Forex Margin trading or any other amount concerning the Forex Margin trading. 3 お客様は お客様の注文または本規約その他弊社の定める規定に基づいて個別外国為替証拠金取引につき反対売買がなされたことにより 損金または益金が生じた場合 弊社が当該損金または益金を当該時点における証拠金残高から差し引きまたは加えることに同意するものとします 3 In the case that any loss or profit due to reverse purchase and sale in any specific Forex Margin trading conducted in accordance with the Client s trading terms or these Terms or other provisions formulated by the Company, the Client agrees that the Company shall have the right to deduct from or add in the margin balance such amount of loss or profit. 4 お客様は 外国為替相場の変動により計算上の差益が生じた場合 その額を新たな証拠金として加算することに同意するものとします 4 The Client agrees that where there is a difference in calculation due to the fluctuation of market price, the original margin shall be supplemented by the amount of profit. 5 弊社は 弊社がお預かりしているお客様の有効証拠金の額が必要証拠金の額を上回っている場合 その余剰金額のうち現金残高額を上限として お客様からの現金返還請求に応じるものとし 当該請求のあった日から起算して4 営業日以内に請求額を返還するものとします 5 In the case that the amount of effective margin deposit in the Company by the Client exceeds the amount of the necessary margin, the surplus in the cash balance will be returned to the Client upon the request of the Client from within four (4) business days from the date the Client bring forward its request. 6 前各号に定める事項の他 外国為替証拠金取引に係る証拠金の取扱いは 弊社の定めるところによるものとします 6 Except for matters prescribed above, the operation of margin concerning the Forex Margin trading shall be implemented in accordance with relevant provisions of the Company.

13 第 12 条 : ロスカットルール Article 12 Rules for Stop-loss お客様は 次の各項及び外国為替証拠金取引ガイドブックおよび外国為替証拠金取引説明書に定めるロスカットルールの内容を十分理解し また承認したうえでお客様の判断と責任において外国為替証拠金取引を行うことを確認し 弊社の定めるロスカットルールに該当した場合 その執行がなされることに異議がないものとします The Client acknowledges that it enters into the Forex Margin trading at its own discretion upon full understanding and acknowledgement of the following provisions and the rules for stop-loss specified in the Forex Margin trading Guide and the Introduction to Forex Margin Trading. In the case that the conditions for implementing the Company s rules for stop-loss are met, the Client shall bring forward no objection with regard to its implementation. 1 お客様が未決済ポジションを有している間は お客様の外国為替証拠金取引口座内の有効証拠金の額が 常に必要証拠金の額以上に維持されている必要があること 1 In the case that the Client holds any outstanding position, it is necessary for the Client to maintain the amount of effective margin in the Client s Forex Margin trading account higher than the amount of necessary margin constantly. 2 お客様の外国為替証拠金取引口座内の有効証拠金の額が弊社の定める必要証拠金の額を下回った場合で かつお客様がご自身の判断で追加的に証拠金を差し入れるなどして所定の期日までに当該状態を解消したと弊社が合理的な手段によっても確認できない場合 弊社により当該状態を解消するに必要な範囲でお客様の全部または一部の未決済ポジションが反対売買されること 2 In the case that the amount of effective margin in the Client s Forex Margin trading account is lower than the amount of necessary margin, and that the Company, although has exerted reasonable effort, can not determine whether the Client has released itself from the state at its own discretion by adding a certain amount into the original margin within the specified time limit, the Company shall conduct reverse purchase and sale with respect to whole or part of Client s outstanding position to the extent as required for releasing such status. 3 前項の規定にかかわらず お客様の証拠金維持率が 15%( またはロールオーバー時の維持必要証拠金維持率が 100%)( 証拠金規制除外法人口座を除く ) を下回った場合 弊社によりお客様の証拠金維持率を 15%( またはロールオーバー時の維持必要証拠金維持率が 100%)( 証拠金規制除外法人口座を除く ) とするに必要な範囲でお客様の全部または一部の未決済ポジションが反対売買されること 3 Regardless of the foregoing provisions, in the case that the Client s margin maintenance rate is lower than15% (or in the case of rollover, the Client s margin maintenance rate is lower than 100%)(Except Margin Restriction exempted corporate account), the Company shall have the right to conduct reverse purchase and sale with respect to whole or part of Client s outstanding position to the extent as required to cause the Client s margin maintenance rate reach15%(or in the case of rollover, to cause the Client s margin maintenance rate reach100%) (Except Margin Restriction exempted corporate account). 4 前項の場合 弊社は 必要証拠金の 15%( またはロールオーバー時の 100%)( 証拠金規制除外法人口座を除く ) の残高の確保を保証するものではなく 為替相場の急激な変動 或いは日曜日など

14 非取引時間を挟んで為替相場が大きく変わった場合など お客様が差入れている証拠金の額以上の損失が生じ 証拠金残高がマイナスとなる可能性もあること 4 In the abovementioned cases, to maintain the Client s margin maintenance rate at 15% (or 100% in the case of rollover) (Except Margin Restriction exempted corporate account) is not the purpose of the Company but out of the consideration that the margin balance may be negative once the exchange rate changes dramatically due to the drastic fluctuation of the current market situation or at any non-trading days such as Sundays, as a result of which the losses caused therefrom may be higher than the amount of margin deposited by the Client in the Company. 5 弊社が 前各項の規定に従い お客様の全部または一部の未決済ポジションにつき反対売買を行った場合で かつ当該反対売買時の建玉値に従い実現損益を計算した上 差引計算により不足額が生じた場合には お客様は 弊社が指定する期日までに当該不足額を弊社に対し支払うこと 5 Where the Company conducts reverse purchase and sale for whole or part of the outstanding position as specified above, and if the balance acquired upon the calculation of actual profit and loss based on the close price of the said reverse purchase and sale, the Client shall pay the difference to the Company within the time limit specified by the Company. 6 弊社は経済情勢或は市場の変化に伴い必要証拠金の額を合理的に変更することができるものとし 必要証拠金の額を変更されたときは 当該変更時点での未決済ポジションに関しても所定の猶予期限をおいた上で変更後の必要証拠金の額が要求されること 6 The Company may change the amount of necessary margin pursuant to the change of economic situation or market. Where the amount of necessary margin changes, even if the outstanding position is involved, the amount of necessary margin after the said change shall be reached within specified time limit. 第 13 条 : 期限の利益の喪失 Article 13 Forfeiture of Limited Benefits 1 お客様について次の各号の事由のいずれかが生じた場合には 弊社からの通知 催告等がなくても弊社に対する全ての外国為替証拠金取引にかかる債務について期限の利益を失い 直ちに債務を弁済することとします 1 In case of any of the following circumstances, even if the Company fails to give notice or summons for exhortation for the Forfeiture of Limited benefits of the Company in debts concerning the Forex Margin trading, the Client shall pay off its debts in a immediate manner. 1 支払の停止または破産手続開始 民事再生手続開始 会社更生手続開始 会社整理開始 特別清算開始もしくは今後立法される倒産手続開始の申立があったとき 1 The Client proposes the commencement of procedures for suspension of payment or bankruptcy, regeneration of civil, corporation reorganization, corporation consolidation or special liquidation or insolvency, which will be legislated later; 2 手形交換所の取引停止処分を受けたときまたは手形が不渡りとなったとき 2 Where the transaction of Client is suspended as a punishment that the clearing house or the clearing house denies the payment for its bills;

15 3 お客様の弊社に対する外国為替証拠金取引に係る債権その他一切の債権のいずれかについて仮 差押または仮処分がなされたとき 3 The Client s creditor s right concerning the Forex Margin trading against the Company or any of its other creditor s rights is blocked or disposed temporarily; 4 お客様の弊社に対する外国為替証拠金取引に関して弊社が占有している物について差押または競 売手続の開始があったとき 4 The property in connection with the Forex Margin trading with the Company possessed by the Client is seized or the auction procedure for such property is commenced; 5 外国の法令に基づく前各号のいずれかに相当または類する事由に該当したとき 5 Any of the abovementioned or similar circumstances as prescribed by laws and regulations of any foreign country; 6 お客様の住所変更の届出を怠るなどお客様の責めに帰すべき事由によって 弊社にお客様の所在 が不明になり または弊社からの連絡が取れなくなった場合 6 The Company is unclear of the Client s residence or can not get in touch with the Client due to the failure in declaring the change of its domicile or any other reason attributable to the Client; 7 管理人 清算人 管財人その他これに類する者の選任がなされ又は申し立てられたとき 7 The Client is in the process of or will propose the appointment for its administrator, liquidator, property manager of any other similar officer; 8 後見開始 保佐開始若しくは補助開始の審判を受けたとき 8 The Client is under custody or protection for any trial; 9 業務執行を決定する機関が解散 ( 合併等による場合を除きます ) 等を決定したとき 9 The authority determines its business implementation department has made the decision for its dissolution (except for the dissolution caused by consolidation); 10 租税公課を滞納し 督促を受けたときまたは滞納処分を受けたとき 10 The Client has been punished for delay in paying taxes and charges; 11 死亡したとき 11 The Client is dead; 12 心身機能の重度低下により外国為替証拠金取引の継続が著しく困難又は不能となったとき 12 Where the Client is physically or mentally disabled and has difficulties or is unable to continue the Forex Margin trading; 13 お客様が弊社の営業に支障をきたす行為を行ったとき 13 The Client carries out any action hindering the Company s business. 2 お客様について次の各号の事由のいずれかが生じた場合には 弊社の請求によって お客様は弊 社に対する外国為替証拠金取引に係る債務は期限の利益を失い 直ちに債務を弁済するものとし ます

16 2 In any of the following circumstances, the Client will Forfeit its Limited Benefits for debts concerning the Forex Margin trading with the Company at the Company s request: 1お客様の弊社に対する外国為替証拠金取引に係る債務その他一切の債務のいずれかについて一部でも履行を遅滞したとき 1 The Client fails to discharge its debts concerning the Forex Margin trading with the Company or any of its other debts or any part thereof; 2お客様が弊社との本約款その他弊社の定める一切の規定のいずれかに違反したとき 2 The Client violates these Terms or any of other provisions formulated by the Company; 3 前各号のほか債権保全を必要とする相当の事由が生じたとき 3 In addition to the foregoing provisions, where any event required for preservation of the creditor s right occurs. 第 14 条 : 期限の利益を喪失した場合における外国為替証拠金取引の処理 Article 14 Treatment of Forex Margin trading in Case of Forfeiture of Limited Benefits 1 お客様が前条第 1 項各号のいずれかに該当したときは 弊社は 事前の通知 お客様の承諾を得る等の手続を経る事なく 任意に お客様が弊社の外国為替証拠金取引口座を通じて行っているすべての外国為替証拠金取引を決済するために必要な反対売買を行い 決済することができるものとします 1 Where the Client is in any circumstance specified in the Sub-article1 of the preceding article, the Company may, without giving prior notice to the Company and acquiring commitment from the Client, conduct any reverse purchase and sale required for all ongoing Forex Margin trading in the Account opened in the Company and make settlement with regard thereto. 2 お客様が前条第 2 項 1 号に掲げる債務のうち 外国為替証拠金取引に係る債務について一部でも履行を遅滞したときは 弊社は 事前の通知 お客様の承諾を得る等の手続を経る事なく 任意に 当該遅滞に係る外国為替証拠金取引を決済するために必要な反対売買を行い 決済することができるものとします 2 Where the Client fails to discharge any part of the debts concerning the Forex Margin trading as specified in Sub-article 2.1 of the preceding article, the Company may, without giving prior notice to the Company and acquiring commitment from the Client, conduct any reverse purchase and sale required for all ongoing Forex Margin trading in the Account opened in the Company and make settlement with regard thereto. 3 お客様が前条第 2 項の各号のいずれかに該当したとき ( 前項に該当する場合を除く ) で 弊社から請求があった場合には お客様は 弊社の指定する日時までに 弊社の外国為替証拠金取引口座を通じて行っているすべての外国為替証拠金取引を決済するために必要な反対売買等を 弊社に注文しなければならないものとします 3 Where the Client is in any of the circumstances specified in any paragraph of Sub-article 2 of the preceding article( except for the circumstances specified in the preceding paragraph), if the Company so requested, the

17 Client may conduct reverse purchase and sale for settling all ongoing Forex Margin tradings via the Account opened in the Company. 4 前項の日時までに お客様が権利行使 反対売買の注文を行わないときは 弊社は任意に 外国為替証拠金取引を決済するために必要な反対売買等を行うことができるものとします 4 Where the Client fails to exercise its right to conduct reverse purchase and sale at the time and date specified in the preceding paragraph, the Company shall have the right to conduct required reverse purchase and sale as necessary for completing the Forex Margin trading. 5 前各項の反対売買等を行った結果 損失が生じた場合には お客様は弊社に対して その額に相当する金銭を直ちに支払うものとします 5 Where the Company suffers losses in the reverse purchase and sale specified in foregoing paragraphs, the Client shall pay an amount equivalent to the amount of losses to the Company immediately. 第 15 条 : 決済条件の変更 Article 15 Alteration of Conditions for Settlement 天災地変 経済事情の激変 政変 法令等の制定又は改廃等その他やむを得ない事由に基づいて 弊社が外国為替証拠金取引に係る決済期日等の決済条件の変更を行った場合には お客様はその措置に従うものとします Where the Company alters the date of settlement or any other condition for settlement due to the occurrence of natural disaster, violate change of economic situation, coup, the change or cancellation of laws and regulations, the Client shall submit to such change. 第 16 条 : 相殺 Article 16 Offset 1 お客様が弊社との外国為替証拠金取引において 第 12 条又は第 14 条に基づく反対売買による決済 第 13 条に基づく期限の利益の喪失 第 24 条に基づく外国為替証拠金取引の解約その他の事由によって 弊社に対する債務を履行しなければならない場合には 弊社は その債務とお客様の弊社に対する外国為替証拠金取引に係る債権その他一切の債権とを 双方の債権の期限のいかんにかかわらず いつでも相殺できるものとします 1 In the event that, in the Forex Margin trading between the Client and the Company, the Client is obliged to discharge its debts payable and due to the Company for the settlement of reverse purchase and sale as prescribed in Article 12 and Article 14 hereof, or the loss of profit within the time limit as prescribed in Article 13 hereof, or the cancellation of any Forex Margin trading as prescribed in Article 24, regardless of the term of the creditor s right, the Company shall have the right to offset the debts owed by the Client with the creditor s right of the Company with regard to the Forex Margin trading and all other creditor s rights it may have against the Company. 2 前項の相殺が許される場合 弊社は事前の通知及び所定の手続きを省略し お客様に代わって諸預け金の払戻しを受け 債務の弁済に充当することができるものとします

18 2 In the event that the offset prescribed in the preceding Article is allowed, the Company shall have the right to, without giving notice to the Client and handling relevant procedures, accept the return of deposited amounts on behalf of the Client and uses the returned amount it accepted as the Client s repayment of debts. 3 前 2 項によって相殺を行う場合 債権債務の利息 損害金等の計算については その期間を相殺実行の日までとし債権債務の利率 外国為替証拠金取引に係る弊社に対する債務の遅延損害金の率及び弊社に対するその他債務の遅延損害金の率について定める利率によるものとする 3 Where any offset is implemented as prescribed in foregoing two Articles, the interests and damages concerning the creditor s right and the debts shall be calculated up to the date of offset, and the rate of interests for such debts, the rate of interest for damages incurred by the Client for its delay in paying off the debts arising from the Forex Margin trading and the rate of interest incurred by the Client for its delay in paying off any other debt payable to the Company, shall be that rate specified in relevant provisions. 4 第 1 項および第 2 項の相殺等を行う場合 債権および債務の支払通貨が異なるときに適用する外国為替相場については 金融市場実勢に基づき弊社のカバー取引先が定める実勢為替レートを適用するものとします 4 In case of offset prescribed in the foregoing Sub-article 1 and 2, if the currency used for implementing the creditor s right is not the same with that used for paying off debts, the actual market price of the financial market adopted by the counterparty of the Company, shall be the applied for determining the foreign exchange rate. 第 17 条 : 弁済等の充当の順序 Article 17 Priority in Offset 債務の弁済または前条の相殺等を行う場合 お客様の債務の全額を消滅させるのに足りないときは弊社が適当と認める順序及び方法により債務の弁済に充当することができるものとします For paying off debts or in case of offset as mentioned above, if the debts owed by the Client to the Company can not be fully repaid or offset, the priority and method as the Company deems appropriate shall be adopted for repaying or offsetting the debts. 第 18 条 : 遅延損害金の支払い Article 18 Payment of Damages for Delay in Paying off Debts お客様が弊社と行う外国為替証拠金取引に関し 弊社に対する債務の履行を怠ったときは 弊社の請求により お客様は弊社に対し履行期日 ( 当該日含む ) から履行の日 ( 当該日含む ) まで 年 14.6% の率による遅延損害金を支払うものとします In the event that the Client fails to pay off the debts owed to the Company within prescribed time limit, the Company shall have the right to claim for the payment of damages for the delay of repayment of debts against the Client at an annual rate of 14.6% for the period from the prescribed date of repayment to the actual date of repayment. 第 19 条 : 届出事項の変更届出 Article 19 Change of Declared Items

19 1 お客様は 弊社に届け出た氏名もしくは名称 印章もしくは署名鑑 住所もしくは所在地 銀行口座またはメールアドレスその他の事項に変更があったときは 弊社に対し直ちに書面をもってその届出を行うものとします 1 In case of any change of the Client s declared items, such as the Client s name or designation, official seal or signature seal, address or domicile, bank account or address, the Client shall give notice to the Company in written for such changes. 2 弊社は お客様が前項の届出を怠った結果 お客様に発生した一切の損害について 何ら責任を負わないものとします 2 The Company shall not be liable for any damages suffered by the Client for its failure in giving notice to the Company for declaring any change of declared items in due time as prescribed above. 3 お客様による変更届出がなされた場合でも 変更届出前の時点において既に手続処理が開始された外国為替証拠金取引その他の手続が存在し これについて変更届出前の情報に基づいて手続処理がなされた場合も 前項と同様とします この場合 お客様は 変更届出前の情報に基づく手続処理を避けるべく 弊社に対して連絡を行うなど適宜必要な処置をとるものとします 3 In the case that the handling of procedures for any Forex Margin trading has been commenced or completed before the Client gives notice to the Company for any change of declared items, the preceding article shall apply for procedures handled with information acquired before the declaration of change; in such circumstances, the Client shall give notice to the Company and take appropriate measures to avoid handling of procedures with information acquired before the declaration of change. 第 20 条 : 報告書等の作成及び提出 Article 20 preparation and Submission of Reports 1 お客様は 日本国等の法令に基づき要求される場合において 弊社がお客様に関する外国為替証拠金取引の内容その他を日本国等の政府機関宛に報告することに異議がないものとします この場合 お客様は 弊社の指示に応じて かかる報告書その他の書類の作成に協力するものとします 1 As prescribed by laws and regulations of Japan, if so requested, the Company shall submit reports concerning the Forex Margin tradings between the Company and the Client to any governmental authority of Japan and/or any other country and the Client shall not bring forward any objection; in such cases, the Client shall cooperate with the Company in preparing relevant reports as instructed by the Company. 2 弊社は 前項の規定に基づく報告書その他の書類の作成及び提出に関してお客様に発生した一切の損害について 何ら責任を負わないものとします 2 The Company shall not be liable for any damages incurred by the Client for the reports or any other document so prepared and submitted by the Company as prescribed in the preceding article. 第 21 条 : 表明保証の排除 Article 21 No Representation or Warranty

20 弊社がお客様に提供する外国為替証拠金取引に関する推奨および情報は 弊社が信頼に足ると考える情報筋から得た情報等に基づくものですが その典拠は意見に過ぎない場合があり またかかる情報は不完全であり 検証されていない可能性があります 弊社は お客様に対して行なった外国為替証拠金取引の推奨またはその他提供した情報について 明示的であるか黙示的であるかに関わらず その完全性 正確性 有用性等いかなる種類の表明も保証も行わず また何らの責任を負わないものとします Although the information concerning the Forex Margin trading provided by the Company to the Client is acquired by the Company from sources it deems reliable, not all information has been verified for correctness and integrity. The Company makes no representation or warranty for the correctness, integrity or availability of the information it recommended or provided to the Client concerning the Forex Margin trading between them, whether expressly or implied. 第 22 条 : 免責事項 Article 22 Disclaimer 1 本約款その他弊社が定める規定において個別に定められているもののほか 次の各号に掲げるお客様の損害及び損失について 弊社は免責されるものとします 1 Unless otherwise stated herein or in any other provision formulated by the Company, the Company shall not be liable for the following damages and losses incurred by the Client: 1システム障害 天災地変 戦争 テロ 政変 ストライキ 外貨事情の急変 外国為替市場の閉鎖もしくは各国政府による規制もしくは規制変更等の不可抗力またはその他のやむを得ない事由により 外国為替証拠金取引に関する取引の執行または金銭の授受もしくは預託等が遅延または不能となったことにより生じた損害及び損失 1 The damages and losses incurred by the Client for the delay or failure in the executation of any Forex Margin trading or the receiving or depositing of any amount due to the occurrence of system failure, natural disaster, war, terrorism, coup, violent change of foreign exchange rate, close of the foreign exchange market, or any restriction or provision imposed by any national government or any other event of force majeure or any other event beyond the reasonable control of the Company; 2 前号の事由による証拠金等の紛失 滅失 毀損等の損害 2 The damages incurred by the Client for the loss, extinguishing or impairment of margin arising from any of the abovementioned causes; 3 外国為替市場の閉鎖または規則の変更等の事由により お客様の外国為替証拠金取引に係る注文に弊社が応じ得ないこと等により生じた損失及び損害 3 The damages and losses incurred by the Client for Company s failure in executing any Forex Margin trading with the Client due to the close of the foreign exchange market or any change of its rules or any other cause; 4 電信 インターネット 携帯電話設備または郵便等の通信手段における誤配信または遅延等弊社の責めに帰すことのできない事由により生じた損害及び損失

21 4 The damages and losses incurred by the Client for any error or delay of the telecom, internet, mobile communication or postal service or any other means of communication or any other reason not attributable to the Company; 5 弊社が 諸届け又はその他の書類に使用された印影または署名と届出の印鑑または署名鑑とを相当の注意をもって照合し 相違ないものと認めて取扱った場合においては それらの書類につき偽造 変造その他の事故があり そのために生じた損害及び損失 5 The damages and losses incurred by the Client for the Client s forgery or falsification of statement or declaration or any other document it provided to the Company, provided that the Company has checked the seals and signatures affixed on such documents in a prudent manner and determined them to be true; 6 外国為替証拠金取引に関する一切のコンピュータのハードウェア ソフトウェア 携帯端末 システム オンライン等の故障 誤作動 通信回線のトラブル等により生じたお客様の損害及び損失 6 The damages and losses incurred by the Client for any fault or malfunction of computer hardware or software, handheld terminal, system or telecommunication lines required for the implementation of any Forex Margin trading; 7 天災地変その他やむを得ない事由による通信回線及びシステム機器の瑕疵または障害により生じたお客様の損害及び損失 7 The damages and losses incurred by the Client for any damage or fault of telecommunication lines or machinery required for the implementation of any Forex Margin trading caused by any natural disaster or any other event beyond the Company s reasonable control; 8お客様が外国為替証拠金取引における取引の速度及び回線の混雑等の事由によりお客様が被った損害及び損失 8 The damages and losses incurred by the Client for the speed of trading, the disorder of telecommunication lines in the trading of any Forex Margin trading; 9その他 弊社の責めに帰すことのない事由の発生により お客様が被った損害及び損失 9 The damages and losses incurred by the Client for the occurrence of any other event not attributable to the Company. 2 弊社は いかなる場合においても 法律上の請求原因の如何を問わず 間接的 付随的 派生的 懲罰的及び特別損害に対する賠償責任を負わないものとします ここで賠償責任の対象から除外される損害は逸失利益を含むが これに限定されるものではないものとします 2 Regardless of the provisions of applicable law, in no event shall the Company be liable for any indirect, incidental, consequential, punitive or special damages incurred by the Client, including but not limited to, as excluded from the scope of compensation, the losses of profit. 3 第 1 項各号の事由により 外国為替証拠金取引などに関する注文およびその執行がお客様の意図する内容で行われなかった場合も お客様はそれらの取引の結果について責任を負うものとします

22 3 In the event that any purchase and sale relevant to any Forex Margin trading has not been executed at the Client s will for any reason specified in the preceding Sub-article 1, the Client shall be responsible for the result of transaction. 4 いずれかの法域において 一定の損害に対する責任を免除または制限することが認められない場合 当該法域においては 弊社の責任は 法により許容される限度で 本約款その他弊社の定める規定に従って制限されるものとします 4 Where the exemption from or restriction on liability of the Company for certain losses suffered by the Client is prohibited by law, the Company may limit its scope of liability as prescribed herein or any other provisions of the Company to the maximum extent permitted by law. 第 23 条 : お客様の補償責任 Article 23 Client s Indemnification お客様には (i) 本約款その他弊社の定める一切の規定に基づき弊社が提供した情報 著作物 成果物その他一切のマテリアルのお客様による占有もしくは使用またはお客様による弊社の電子取引システムの不正使用に起因する第三者の知的財産権の侵害または侵害されたとの主張 および (ii) お客様の誤解またはお客様の表明もしくは保証の違反により またはこれに関連して弊社に生じた一切の訴訟 請求 要求 手続 損害 費用 課徴金および経費 ( 合理的範囲内の弁護士報酬を含みますが これに限りません ) について 弊社に補償するものとします The Client shall indemnify the Company if, as specified herein or any other provision formulated by the Company: (i) any information, works or achievement or any other material provided to the Client by the Company, or the electronic trading system of the Company, infringes the intellectual property right of any third party or any claim for the infringement of intellectual property right is brought forward by third party due to the Client s possession or improper use; (ii) any litigation, request or claim is brought forward against the Company or the Company suffers damages, costs, penalties or expenses ( including but not limited to reasonable attorney s fee) due to the Client s misunderstanding or breach of any of its representations and warranties or any reason in connection therewith. 第 24 条 : 個別外国為替証拠金取引の解約 Article 24 Cancellation of Specific Forex Margin trading 1 お客様が次の各号の事由または第 13 条に掲げる事由のいずれかに該当した場合は 弊社は何らの通知 催告することなく直ちに個別外国為替証拠金取引を解約できるものとします 1 Where the Client is in any of the following circumstances or any of the circumstances specified in Article 13, the Company may cancel any specific Forex Margin trading with immediate effect without any notice; 1お客様が個別外国為替証拠金取引に関して解約の申出をしたとき 1 Where the Client applies for the cancellation of any specific Forex Margin trading; 2お客様から反社会的勢力でない旨の確約を徴収し その内容が虚偽であると認められたときに 弊社がお客様に対し解約の申出をしたとき

23 2 Where the Company determines that the statement for non-involvement of any antisocial (gangdom) strength submitted by the Client is false in any respect and thus proposes the cancellation of any specific Forex Margin trading; 3お客様が反社会的勢力に該当すると認められたときに 弊社がお客様に対し解約の申出をしたとき 3 Where the Company determines that the Client is an antisocial (gangdom) organization and thus proposes the cancellation of any specific Forex Margin trading; 4お客様が暴力的な要求行為 法的な責任を超えた不当な要求行為等を行い 弊社が契約を継続しがたいと認めたときに 弊社がお客様に対し解約の申出をしたとき 4 Where the Client put forward any request by violence or put forward any inappropriate request that is beyond the scope of the Company s legal responsibility and the Company proposes the cancellation of relevant specific Forex Margin trading as it determines it can not be proceeded; 5お客様が本約款その他弊社の定める規定の条項又は記載内容のいずれかに違反し 弊社が本約款の解約を通告したとき 5 Where the client breaches this Article or any other provision formulated by the Company or any item included therein and the Company proposes the cancellation of relevant specific Forex Margin trading as prescribed herein; 6 第 32 条に定める本約款の変更にお客様が同意しないとき 6 Where the Client can not agree with the alteration of this Article as specified in Article 32; 7 前各号の他 やむを得ない事由により 弊社がお客様に対し解約の申出をしたとき 7 In addition to the abovementioned circumstances, the Company has no alternative but to cancel relevant specific Forex Margin trading. 2 お客様との間の個別外国為替証拠金取引を解約する場合において お客様が弊社と行う外国為替証拠金取引の未決済ポジションが残存するとき またはお客様の弊社に対する債務が残存するときは 未決済ポジションを反対売買により決済した上で 第 16 条に定めるところにしたがい 弊社とお客様の間の債権債務を清算するものとします 2 In case of the cancellation of any specific Forex Margin trading between the Company and the Client, if any position therein remains unexecuted or there is any debt payable and due to the Company by the Client, reverse purchase and sale shall be conducted for the outstanding position, and then the debtor-creditor relationship between the Company and the Client shall be liquidated in accordance with Article 16 hereof. 3 お客様は 前 2 項の手続に伴って 弊社が要した費用をその都度弊社に支払うものとします 3 For handling procedures for matters set forth in preceding two sub-articles, the Client shall pay commissions to the Company. 第 25 条 : 外国為替証拠金取引に係るサービスの中止および廃止 Article 25 Suspension and Termination of Services Related to Forex Margin tradings
