Also, this SMM only summarizes benefits; individual situations may vary. In all cases, the official Plan documents govern and are the final authority on the terms of the Frontier Communications Pension Plan (Plan). If there are any discrepancies between the information in this SMM and the Plan, the Plan documents will control. Participation in the Plan is neither a contract nor a guarantee of future employment. What Is This Document? This document is an SMM, which is a document that updates and revises a plan s Summary Plan Description ( SPD ). This SMM describes changes to the Plan pursuant to, and in accordance with, the terms of the Frontier Communications Stock Purchase Agreement by and between AT&T Inc. and Frontier Communications Corporation, dated Dec. 16, How Do I Use This Document? You should review this SMM and your SPD in their entirety so that you can understand the details of the Program. The SPD (which was provided to you by AT&T) provides more comprehensive information about the Plan, and this SMM describes changes to the information in the SPD. Keep this SMM for future reference with your SPD and all other SMMs related to the Plan (those SMMs received from AT&T previously and any future SMMs from Frontier). Together, the SPD and SMMs are your primary resource for questions about the Plan. Questions? 4 13INTRODUCTION On Dec. 16, 2013, Frontier Communications Corporation (Frontier) reached an agreement to purchase AT&T wireline operations in Connecticut from AT&T. The transaction closed on October 24, 2014 (Close). On the day following Close, certain employees of Southern New England Telephone Company or its affiliates became employees of a subsidiary of Frontier and were no longer employed by a member of the AT&T controlled group of corporations. If you were an employee of Southern New England Telephone Company or another entity immediately prior to the Close who became employed by Frontier in connection with the Close, or you are an alternate payee of such an employee (an Impacted Participant), then this SMM is applicable to you. This summary of material modifications (SMM) is an update to the Summary Plan Descriptions (SPDs) for the various pension programs of the Frontier Communications Pension Plan (the Plan or the Frontier Plan ) resulting from the spinoff and merger of certain assets and liabilities from the AT&T Pension Benefit Plan (the AT&T Plan ). 6 13PENSION TRANSFERS TO THE FRONTIER PENSION PLAN Plan liabilities for the pension benefits associated with Impacted Participants and related assets will be transferred to the Frontier Plan. If you are an Impacted Participant, please note that the amount of your transferred benefit will not be less than your benefit under the AT&T plan as of the Close. Your future benefits under the Frontier Plan will be determined in the same manner as under the AT&T Plan, subject to any future amendments. The amount and date of assets to be transferred will be determined in accordance with the transaction agreement between Frontier and AT&T. Frontier and AT&T intend that the amount of the transfer to the Frontier Plan will be at least as great as the amount required by applicable law (ERISA) and its associated rules and regulations. CREDITING OF PRIOR SERVICE UNDER THE PLAN If your employment transfers to Frontier in connection with the Close, your prior service as an eligible employee under the AT&T Plan (and any prior service under the Frontier Plan) will be credited for purposes of determining your accrued benefit under the Frontier Plan. Your prior AT&T service is recognized under the Frontier Plan in this case because AT&T and Frontier agreed to transfer the liability for crediting prior AT&T service of Impacted Participants to the Frontier Plan, and because the Frontier Plan will be receiving a related transfer of assets from the AT&T Plan as described above. AT&T will not be transferring pension assets and liabilities relating to any other Frontier employees with prior service with AT&T or its affiliates. Accordingly, prior service with AT&T or its affiliates will not be credited for any other Frontier employees, including employees who retire or terminate employment with AT&T before (or after) the Close and who are later hired or rehired by Frontier or its affiliates. MERGER DOES NOT CREATE ENTITLEMENT TO ADDITIONAL OR ENHANCED BENEFITS. If your employment transfers to Frontier as part of the Close, your Plan benefit (if any) that accrued prior to the Close will be determined entirely under the terms of the AT&T Plan, except that in no event will there be a duplication of benefits under the Frontier Plan with respect to the same period of service or otherwise. You will continue to be entitled to a level of benefits and other rights and features with respect to the benefit earned pre-close that are not greater than those that were available to you under the AT&T Plan immediately prior to the Close, without enhancement or augmentation, except as subsequently modified by formal and effective Frontier action (e.g., by a valid Plan amendment or a collective bargaining agreement that expressly and unequivocally enhances or augments rights) from time to time after the Close. Furthermore, all benefits and rights that relate to your service after the Close will be determined in the same manner as under the AT&T Plan, subject to any future amendments. PARTICIPATING COMPANIES Following the Close, the Southern New England Telephone Company will become a Participating Company under the Frontier Plan. Page 6
