Pursuant to the Instituting Order issued by the Department of Transportation ("Department" or "DOT"), Order , served January 26, 2010 (the "Order"), Hawaiian Airlines, Inc. ("Hawaiian") respectfully submits this Application for two of the four available daily slot pairs and related certificate authority for scheduled combination services at Tokyo International Airport ("Haneda"). Hawaiian proposes to institute two daily flights from Honolulu, Hawaii to Haneda. In support of its application, Hawaiian states as follows: 1. Hawaiian is incorporated under the laws of Delaware, and its headquarters are located in Honolulu, Hawaii. 2. Hawaiian is a citizen of the United States as defined in 49 U.S.C (a)(15). 3. The Department has repeatedly found Hawaiian fit to provide interstate and foreign transportation of persons, property and mail, most recently by Notice of Action Taken dated August 19,2009, renewing Hawaiian's authority to operate scheduled combination service to the Philippines. See Notice of Action Taken, Docket OST (Aug. 19,2009); see also Notice of Action Taken, Docket OST-2004-

The Department also has granted Hawaiian a blanket route integration certificate of public convenience and necessity as well as open-skies certificate authority. See Order (July 10, 2007); Order (Mar. 7,2006). Hawaiian asks that the Department take official notice of these and all other Orders finding Hawaiian ready, willing and able to provide scheduled foreign air transportation of persons, property and mail, pursuant to Rule 24 of its Rules of Practice. 4. Hawaiian is fit, and will continue to remain fit, to provide scheduled foreign air transportation of persons, property and mail to and from the United States and Japan. 5. Hawaiian proposes to initiate two daily nonstop flights between Haneda and Honolulu International Airport ("Honolulu") beginning upon the commencement of the Winter IA T A scheduling season. Hawaiian intends to operate its proposed flights with Boeing -300 ER aircraft. 1 The route maps and corresponding flight schedules proposed by Hawaiian for each daily slot pair are set forth in Exhibits HA- App-l and HA-App This application is consistent with the Memorandum of Understanding initialed by the United States and Japan on or about December 11,2009. Given Hawaiian's financial strength, as discussed more fully herein, Hawaiian will start receiving new Airbus 330 aircraft this spring and summer. As these aircraft are delivered and start service not only will they free up the B aircraft presently planned for service on this route, but also, Hawaiian anticipates that it will grow its service with its newly acquired Airbus 330 aircraft in the future. See Exhibit HA-App-3 for seat configuration, number of seats available by class of service, cargo capacity, and fuel requirements for Hawaiian's B and A330 aircraft.

4 DOT -OST Application of Hawaiian Airlines, Inc. Page 3 of12 7. The grant of two (2) daily slot pairs to Hawaiian will inject a new competitor into the Tokyo market. Hawaiian, unlike most ifnot all of the other applicants, presently has no access to Japan or the important Tokyo market. Hawaiian has a long history and presence in the Pacific and will bring its award-winning customer service and on-time performance to this market. 2 Hawaiian's service will also introduce a new carrier with an established presence in Japan to the Tokyo-Hawaii market, in which U.S.-flag service is currently dominated by the large U.S. carriers. This new service is also important to Hawaii and its tourism-based economy, as it will bring mainly Japanese-originating tourists to visit Hawaii and spend within the state's economy. 8. There are no energy or environmental issues associated with this application, as the institution of Hawaiian's proposed flights will not result in a near-term annual net increase in fuel consumption of 10 million or more gallons. See Exhibit HA- App-3. To the extent any such issues are determined to arise, Hawaiian respectfully requests an exemption from such requirements in light of the substantial public benefit that will be derived from Hawaiian's proposed service. OPENING STATEMENT Hawaiian, with this application, seeks to introduce a strong new competitor for scheduled passenger service in the U.S.-Japan market. Hawaiian's initiation of service between Honolulu and Haneda will do more than simply increase the number of competitors in this market: it will set a new standard in passenger service and consumer choice by delivering Hawaiian's award-winning customer service and on-time 2 See Exhibit HA-App-6 for a summary of Hawaiian's awards, accolades and corporate highlights.

Hawaiian has led all U.S. carriers in ontime performance for the past six (6) years and has been an industry leader in the fewest misplaced bags during the same period. See U.S. DOT Air Travel Consumer Reports. Readers of Travel + Leisure, Conde Nast Traveler and Zagat have consistently voted Hawaiian the favorite domestic airline serving Hawaii, and the annual Airline Quality Rating study has rated Hawaiian the #1 U.S. carrier for quality and performance twice in the past three (3) years. See Exhibit HA-App-6. Hawaiian's most recent financial results also demonstrate that Hawaiian's financial strength matches its operational strength. Unlike most other U.S. airlines, or airlines anywhere in the world, Hawaiian's financial results last year give it the wherewithal to initiate and operate these new services while continuing to deliver the unique combination of award-winning customer service and on-time performance, just as it has done for the past six (6) years. In 2009, despite the economic recession, Hawaiian earned a profit of$116.7 million, a more-than-fourfold increase from See ATW Daily News, "Hawaiian earns 'remarkable' $116.7 million 2009 profit" (Feb. 5,2010). Hawaiian's 2008 performance also was extraordinary, making it #1 among all North American carriers and #11 worldwide in Aviation Week's 2009 Top-Performing Companies study. Hawaiian's proposed service to Honolulu also will infuse much-needed dollars into Hawaii's tourism-based economy. Because Hawaiian expects the overwhelming

Page 5 of12 majority of the traffic on the proposed routes to originate in Japan, the economic impact of Hawaiian's service on Hawaii's economy will be significant. Hawaiian has discussed its service proposals with representatives of the major Japanese travel wholesalers and, based on indications of interest in those discussions, Hawaiian is confident that there is sufficient demand to support each of its proposed flights. This application represents the next logical step in Hawaiian's business plan of establishing itself as a major air carrier in the Pacific. Hawaiian has sought to capitalize on the unique geographic location of its hub of operations and its headquarters in the middle of the Pacific Ocean by increasing its services all along the Pacific Rim. In addition to providing service to the mainland United States, Hawaiian now serves Australia, Tahiti, the Philippines and American Samoa. Initiating two daily passenger flights to Japan is a natural progression in the execution of Hawaiian's business strategy. Although Hawaiian would be a new entrant to the U.S.-Japan market for scheduled air service, it has long had a significant presence in Japan. During the 1980s and early 19908, Hawaiian was the largest provider of charter service between the United States and Japan, and it has had a sales presence in Japan for nearly four (4) decades. Hawaiian opened its first sales office in Tokyo in 1973 and continues to maintain a sales presence there to this day. Hawaiian engages in extensive marketing ofits inter- Hawaiian Island service in Japan and even maintains a Japanese language website. See Exhibit HA-App-5 for a screenshot of Hawaiian's Japanese language website ( and examples of its Japanese marketing materials.

Page 6 of12 Given its long-standing commitment to serving the Japanese market and its financial strength, Hawaiian is well-positioned to initiate successful twice-daily service between Honolulu and Haneda. Service Proposal Hawaiian proposes to initiate two daily nonstop year-round flights between Haneda and Honolulu. Hawaiian will initiate service upon the commencement of the Winter 2010 lata scheduling season on or about October 31, F or Hawaiian's first HNL-HND proposal ("Proposal 1 "), the aircraft would depart Honolulu at 1840 (1745 during off-peak season) and arrive in Haneda at On the return trip, the aircraft would depart at 2345 and arrive in Honolulu at 1220 (1145 during off-peak season). For Hawaiian's second HNL-HND proposal ("Proposal 2"), the aircraft would depart Honolulu at 1850 (1755 during off-peak season) and arrive in Haneda at On the return trip, the aircraft would depart at 2355 and arrive in Honolulu at 1230 (1155 during off-peak season). All departure and arrival times stated herein are local. Route maps and proposed schedules for Proposals 1 and 2, including connections to and from the continental United States and within Japan, are set forth in Exhibits HA-App-l and HA-App-2. Hawaiian will use a B-300 ER aircraft with winglets with 264 total seats (18 Business Class "J" seats and 246 Economy "Y" seats) to serve these routes and anticipates that it will grow its service with its larger newly acquired A330 aircraft with 3 The first flight would depart Honolulu on October 30 to arrive on October 31, provided the Haneda international terminal and fourth runway are completed on schedule.

Page 7 of total seats (18 Business Class "J" seats and 276 Economy "Y" seats).4 Additional information regarding Hawaiian's aircraft to be used on its proposed service is set forth in Exhibits HA-App-3 and HA-App-4. While these flights will be dominated by Japanese originating traffic, Hawaiian also will attract connecting traffic to enhance its proposed service offering. Hawaiian will offer its inter-hawaiian Island connecting service to all passengers by common rating the Hawaiian Islands for any ticket issued to Honolulu. In addition, Hawaiian will offer passengers the opportunity to stopover without charge in Honolulu when traveling in either direction, giving its customers the option to break the flight in Hawaii before continuing on to Japan or to additional points in the continental United States, American Samoa and Tahiti. Route maps showing the available stopovers and connections are set forth in Exhibit HA-App-l. Given Hawaiian's proposed schedules, passengers also will be able to make convenient domestic connections to Hawaiian's flights within Hawaii or to the continental United States and, like all other services operating within the restricted hours of operation provided under the bilateral, connect to Japanese and other destinations, following landing at Haneda. Proposed non-stop to non-stop connecting schedules are set forth in Exhibit HA-App-2. Current Service to Tokyo Hawaiian does not currently offer any direct or code-share service between the United States and Tokyo. 4 Hawaiian also expects to take delivery of several Airbus A350 aircraft with approximately 350 total seats beginning in 2017, which it may use to serve these routes.

Page 8 of12 Public Interest The primary public interest benefits resulting from Hawaiian's initiation of twicedaily service to Haneda include: (1) the introduction of new competition into the U.S.- Japanese market; (2) the introduction of a competitor with both the operational and financial strength to mount and sustain the service in the market; and (3) the economic benefit that Hawaiian's Japan-originating service will bring to the economy of the State of Hawaii and to the United States. As noted in the Opening Statement, Hawaiian's entry into the U.S.-Japan passenger service market would do more than introduce an additional competitor. Hawaiian offers a differentiated product through award-winning customer service as well as the best record of on-time arrivals in the industry among U.S. carriers for the past six (6) years. Given Hawaiian's familiarity with Japan and its on-going sales presence in Japan for scheduled inter-hawaiian Island service, Hawaiian has numerous advantages over any other new entrant without such experience, including brand recognition and marketing expertise in the Japanese market. Its experience in Japan, as well as sales and operating staffwho are familiar with Japan, place Hawaiian on par with carriers that currently serve, and indeed have extensive service, from Tokyo to the United States. An award of both pairs of slots to a new entrant with this experience is fully consistent with Department precedent and will best serve the public interest. Hawaiian's introduction oftwice-daily service between Haneda and Honolulu will have a substantial positive impact on the tourism-based economy of Hawaii. Hawaiian estimates that the overwhelming majority of traffic on the Haneda-Honolulu route will be derived from Japanese tourists visiting the Hawaiian Islands. As a result,

Page 9 of12 the overwhelming number of passengers on Hawaiian's flights are likely to visit (and spend money) in the Hawaiian Islands or the United States in general. The net economic impact on the State of Hawaii will be significant. Based on its traffic studies, the response it has received from the Japanese travel trade to the possibility of Hawaiian implementing service in this market, and the convenience of departures from Haneda, Hawaiian believes there is sufficient demand by Japanese tourists to support two daily flights between Haneda and Honolulu. Hawaiian has carefully considered whether two daily Haneda-Honolulu flights could be successfully maintained. Although it is in part a consequence oflocal time restrictions imposed at Haneda for international flights, operating two flights with the proposed schedules would have significant appeal to travelers in the market. Travelers in Japan could depart for the airport after a full day of work and dinner at home and arrive in Honolulu in time for hotel check-in. On the return trip, travelers could spend a full day in Honolulu and return home in time for work the next day. Availability of Aircraft Hawaiian has the two -300 ER aircraft that it proposes to use for the Honolulu-Haneda route on hand. These aircraft will become available because Hawaiian will take delivery of three Airbus 330 aircraft over the next eight (8) months, which will free up the B aircraft to serve the Honolulu-Haneda route. 5 5 Hawaiian will take delivery of its first two A330 aircraft in April and May, followed by delivery of its third A330 aircraft in November.

Page 10 of 12 Hawaiian will be leasing its first three A330 aircraft using lease financing sources and will purchase additional aircraft using conventional financing as they become available. Leasing of the first A330 aircraft will be through C.LT. Leasing Corporation, and leasing of the second and third A330 aircraft will be through AWAS Leasing Two LLC. Hawaiian anticipates that it will grow its service with some of its newly acquired A330 aircraft to fly the Honolulu-Haneda route in the future. To that end, Hawaiian has included the requested information for both its B and A330 aircraft in Exhibit HA- App-3. All of Hawaiian's B and A330 aircraft are compliant with FAR Part 36. Annual Fuel Consumption Hawaiian estimates that the proposed daily service between Honolulu and Haneda using its B aircraft will consume approximately 10.2 million gallons of fuel per year, and such service using its A330 aircraft will consume approximately 11.5 million gallons of fuel per year. Hawaiian does not anticipate that the institution of its proposed flights will result in a near-term annual net fuel increase of 10 million gallons or more. Hawaiian has been given assurance through its fuel suppliers, World Fuel Services in Haneda and Trafigura in Honolulu, that sufficient fuel to operate the proposed flights will be available at both airports. See Exhibit HA-App-3.

12 Interrogatory Responses Hawaiian responds to the DOT's interrogatories as follows: DOT -OST Application of Hawaiian Airlines, Inc. Page 11 of12 (a) If the carrier is selected for primary authority, will it accept a condition requiring institution of service by a date specified by the Department? What date should the Department specify? Hawaiian intends to commence each of its proposed flights to Haneda on or about October 31, 2010 and will accept a condition requiring institution of service by that date. (b) If the carrier is selectedfor backup authority, will it accept a condition that (i) permits it to implement the authority within the first year should the primary carrier withdraw from the market, and (ii) the authority expires at the end of one year should the authority not be activated? Hawaiian is willing to accept backup authority, and it will accept a condition that permits it to implement the authority within the first year should the primary carrier withdraw from the market, and the authority expires at the end of one year should it not be activated. (c) If an applicant is not awarded all of the pairs of slots that it has requested, would the applicant accept partial grant of its request? How would a partial allocation be used, and what would the start-up date be, if different from above? Also, what is the minimum number of pairs of slots that a carrier will accept? Hawaiian strongly believes that its proposed service would best utilize two (2) of the four (4) daily slot pairs to be allocated in the proceeding. If, however, it is not awarded the two (2) pairs of slots that it requests, it would accept a partial grant of one (1) daily slot pair, which would be used to institute daily HNL-HND service as set forth in Proposal 1 (depart HNL at 1840 (1745 during off-peak season), arrive HND at 2200; depart HND at 2345, arrive HNL at 1220 (1145 during offpeak season)). The proposed schedule for Proposal 1 is set forth in Exhibit HA App-2. The start-up date for such service would be remain the same as if Hawaiian received its requested two (2) daily slot pairs (October 31, 2010). The minimum number of slot pairs Hawaiian will accept is one (1).

Page 12 of12 (d) Rank, in order of priority and preference, the U.S. points proposed for Haneda service for which the carrier seeks slot allocation in this proceeding, and if awarded, the number of pairs of slots needed for each market. In order of priority and preference, Hawaiian ranks its proposals as follows: 1. Proposal 1: HNL-HND (depart HNL at 1840 (1745 off-peak), arrive HND at 2200; depart HND at 2345, arrive HNL at 1220 (1145 off-peak» 2. Proposal 2: HNL-HND (depart HNL at 1850 (1755 off-peak), arrive HND at 2210; depart HND at 2355, arrive HNL at 1230 (1155 off-peak» Hawaiian needs, and is requesting, one (1) slot pair for each Proposal.
