TC 68/SC 2 関連のリエゾン報告 ISO/IEC JTC 1/SC 17(Cards and Personal Identification) 国内委員長の廣川委員 ( 兼事務局 ) より 1 昨年 10 月に韓国ソンドで開催された総会の模様について報告があったほか 2TC68 と関係する SC17 標準化案件として ISO に関するディスプレイ付き IC カードの検討および ISO/IEC に関するカードを使った端末のアクセサビリティ向上への取り組みについて説明がなされた 4. Legal Entity Identifier ( LEI ) の検討状況事務局より ISO として提案されている Legal Entity Identifier (LEI) について別添資料に基づきこれまでの議論について説明を行ったその後三菱東京 UFJ 銀行森氏日本証券業協会石倉氏から 3 月 28 日にバーゼルにて開催された LEI のワークショップでの議論につきフィードバックがなされたまた事務局から各国にさきがけて LEI を導入したいとしている米国の動向について米国商品先物取引委員会 (CFTC) の公表資料を共有するかたちで説明がなされたなお国内で LEI の発行登録業務を担う機関が現状無いことに関し一部のメンバーからは企業コードに関する様々な国内での議論を反映するためにもなるべく国内で LEI の発行管理が出来る体制としていくことが望ましいのではないかとの発言があったまた他のメンバーからはスワップ取引に関する情報蓄積機関 (TR) を巡る議論の現状に関し質問があり事務局より本件については議論の途上であり今後進展があれば随時情報を共有していきたいと回答した 3

4 今後の LEI の検討について事務局から 4 月 19 日に ISO/TC68/WG6 会合があるほか 5 月初のシカゴでの ISO/TC68 年次総会の場においても LEI について議論がなされる見込みであることまた 4 月中に進むであろうとみられる FSB での議論を受けて ISO17442 に修正が入る可能性が高い旨説明を行った今回の会合参加者が 53 名になるなど LEI についてメンバーの関心が高いことから事務局としても ISO での議論のみならず引続き他国特に米国の動向についても情報収集に努めメンバー間で情報共有を図っていく旨説明を行った 5. 国際会議の予定事務局より本年 5 月にシカゴ ( アメリカ ) にて以下の国際会議が開催される予定であり案内と併せて各会合の参加者の募集を行った 5 月 7 日 ISO/TC 68/SC 2, /SC 4 年次総会 5 月 8 日 ISO/TC 68/SC 7 年次総会 5 月 9 日 ISO 20022RMG 定例会合 5 月 10 日 ISO/TC 68 年次総会 5 月 11 日 ISO/TC 68 Meet t he Market 6. 事務連絡 5 月初の ISO/TC68 年次総会の報告も兼ねて ISO/TC68 国内委員会を 6 月中に開催する予定であることを事務局から連絡し閉会した次回 ISO/TC68 国内委員会は 6 月 21 日 ( 木 )15:00~17:00 で開催する予定以上 4

8 Legal Entity Identifier (LEI) とは LEIとは金融取引を行う主体を法人単位で識別するためのコードド会社法に基づき設立された法人であれば一般企業だけでなく法人格をもつ投資ファンドにもコードが付与されるドが付与される取引相手を特定するISOコードとしてBusiness Identifier Codes(BIC 主に金融機関の識別に利用 ) やInternational Bank Account Number(IBAN 銀行口座の特定 ) があるが LEI は法人格毎に情報収集することを目的としている 4 Slide 4

9 LEI が作られることとなった経緯店頭デリバティブの取引情報を取引情報蓄積機関 (Trade Repository<TR>) に集積させることが G20 で合意されており世界共通のLEIがあれば金融取引データの収集分析が容易になる分析が容易になるリスク管理の向上また金融機関や企業にとっても取引先データの管理が容易になり決済も効率化できると期待されている 5 Slide 5

10 LEIのコード体系 LEIはランダムな数字とアルファベットから構成される 20 桁のコードド桁目はチェック用に用いられるため実質的には18 桁の企業コードとなる 0~9 とA~Z の 36 文字の 18 乗の付番が可能 LEIは一法人に対してひとつ付与される仮に法人名や登記国が変わったとしても LEI は変更されず継続して同じ番号を利用するこのため国番号や企業名を想像させるようなコードとはしない ( No Intelligenceの原則 ) 6 Slide 6

11 LEIに紐付けられるデータ当該法人に関する情報は LEI Data Recordとして収集され LEIと紐付けされて公表される現時点で想定されているものとしては正式に登録されている法人 (legal l entity) 名 ( 含むファンド ) 法人の本部 (headquarter) の住所法人登記の住所 ( 国とregion of formation) 法人の種類 LEIが初めて付与された日付 LEI が更新された日付 LEIが失効した日付 ( 注 ) 赤字は新たに加わったもの別添 1 参照 7 Slide 7

16 ローカルな対応が求められる背景 1LEI に紐付けされる企業に関するレファレンスデータはローカル言語に対応できるようにする必要があるローカル言語でないとカル言語でないと正しい社名や住所を確認できない惧れがある 2LEI の登録申請が真に権利のある者からの申請であるかを認証出来るシステムでなければならないそのため申請者の確認は各国で行う方が現実的 3データベースに機密性の高い企業情報を蓄積するのであれば各国の情報保護管理体制に配慮する必要がある日本としてどう対応するか 12 Slide 12

20 LEI 管理における ISO の役割 LEI のガバナンスの中に ISO をどのように位置づけるのかが問題となっている RA 契約における ROC やBODの機能位置付け 1ISO が ROC に対して責任を負い RA の業務が適正に行われているかを監督する案 2ISO が BOD の一員として参加し責任の一端を担う案 3BODとROCとは別に ISOとして登録管理グループ (RMG) を設けて LEIの技術的な点についてのみ意見やアドバイスを行う案 4ISOとしてLEIの国際標準は作成するものの登録機関とRA 契約は結ばず国際標準の執行管理の一切を ROC と BODに委ねる案 16 Slide 16

26 スワップ取引報告の一般的適用 Non-SD(swap dealers)/msp (major swap participants) counterparties shall commence full compliance with this part with respect to all swaps on or before 90 days after the compliance date applicable to swap execution facilities, designated contract markets, derivatives clearing organizations, swap data repositories, swap dealers, and major swap participants with respect to equity swaps, foreign exchange swaps, and other commodity swaps. 7 月 16 日から 180 日よって翌年 1 月半ばからの適用したがって年内に準備を進める必要がある 22 Slide 22

28 LEI についての考え方 LEIの対象範囲 (CFTCの考え方) The Commission disagrees with the suggestion of one commenter that LEIs should be assigned at the individual fund or account level rather than the legal entity level, since LEIs by nature are legal entity identifiers. Level one reference data information sufficient to verify the identity of the counterparty receiving an LEI, both initially and at appropriate intervals thereafter. Level two reference data information concerning the corporate affiliations of the counterparty, in order to enable the Commission and other financial regulators to aggregate data concerning all swap transactions within the same ownership group = ultimate parent. All nonpublic level two reference data reported to the level two reference database will be available only to the Commission and other financial regulators in any jurisdiction requiring LEI use. The location of the level two database will be determined at a future time by a Commission order, and that the obligation to report level two reference data will not apply until that order is issued. 24 Slide 24

29 UPI の必要性 The unique product identifier and product classification system will be required to identify and describe the swap asset class and the sub- type within that asset class to which the swap belongs, and the underlying product for the swap, with sufficient distinctiveness and specificity to enable the Commission and other financial regulators to fulfill their regulatory responsibilities. 25 Slide 25

30 non-us counterparties の扱い The Commission has determined that, because non-u.s. SDs and MSPs will be required to register with the Commission in this connection, the Commission will have sufficient oversight and enforcement authority with respect to such counterparties. If both counterparties to a swap are non-sd/msp counterparties and only one counterparty is a U.S. person, that counterparty shall be the reporting counterparty. If both counterparties are non-sd/msp counterparties, and only one counterparty t is a U.S. US person, that t counterparty shall be the reporting counterparty and shall fulfill all counterparty reporting obligations. 26 Slide 26
